The Supervisory Board of the joint-stock company “National Nuclear Energy Generating Company “Energoatom” (JSC “NNEGC “Energoatom”, the Company) announces a competitive selection process for the position of Corporate Secretary of the joint-stock company “National Nuclear Energy Generating Company “Energoatom.”
The joint-stock company “National Nuclear Energy Generating Company “Energoatom” is the largest electricity producer in Ukraine and plays a strategically important role in ensuring the country’s energy security.
The company’s purpose is to gain profit from its economic activities to meet the state's electricity needs, as well as those of legal entities and individuals. It also ensures the efficient and safe operation of nuclear power plants, as well as safety during the construction, operation, and decommissioning of nuclear facilities.
JSC “NNEGC “Energoatom” was transformed into a joint-stock company, 100% shares of which are state-owned. Bringing the company’s corporate governance into line with international standards is a key step toward improving process efficiency and transparency of decisions, as well as strengthening the independence of the energy sector in the Ukrainian economy.
The list of the main job duties of the Corporate Secretary of JSC “NNEGC “Energoatom” is defined in the Law of Ukraine “On Joint-Stock Companies,” the resolutions of the National Securities and Stock Market Commission “On Approval of Requirements for the Corporate Secretary of a Joint-Stock Company,” and “On Approval of Recommendations for the Appointment of a Corporate Secretary and the Performance of Their Duties,” and the Charter of JSC “NNEGC “Energoatom,” available at the website of the Verkhovna Rada of Ukraine at https://zakon.rada.gov.ua
Requirements for candidates for the position of Corporate Secretary:
- candidates must be natural persons (Ukrainian citizens, foreign nationals, or stateless individuals) with full legal capacity. Individuals holding citizenship, tax residency, or permanent residence in a state that has conducted or is conducting armed aggression against Ukraine, as defined by Article 1 of the Law of Ukraine “On the Defense of Ukraine”, are not eligible;
- a higher education degree of at least the first level (bachelor’s degree) in the fields of “Law” and/or “International Law” and/or “Economics” and/or “Management” and/or “International Relations” and/or “Finance, Banking, Insurance and the Stock Market” and/or “Public Management and Administration”;
- specialized knowledge and skills in the field of corporate law and management;
- at least 3 years of work experience in a business company in a position involving the provision of legal support for the activities of a business company or other business entity in the fields specified in this announcement;
- experience in providing legal support in the field of corporate governance, in particular under a civil law contract or as a member of a business company’s governing bodies, or in companies and/or institutions participating in capital markets or other financial markets, or in government agencies regulating capital markets and other government bodies;
- fluency in Ukrainian;
- proficiency in English at a level sufficient for business communication;
- opportunity to devote sufficient time to performing the duties assigned to them.
The Corporate Secretary must possess the knowledge and ability to apply:
- Ukrainian corporate governance legislation, the OECD Principles of Corporate Governance, and internationally recognized best practices in corporate governance;
- approaches (best practices) for engaging with the joint-stock company’s stakeholders;
- skills to ensure the company’s Supervisory Board is properly informed on GRC and ESG issues;
- general management issues;
- issues related to the formation and organization of the joint-stock company’s governing bodies and their functions;
- rules and regulations for disclosing information about the joint-stock company; rules for handling restricted-access information;
- modern information technologies for preparing, convening, and conducting meetings of the Supervisory Board and its committees in person, by absentee voting (polling), and in other forms provided for by applicable law and the company’s internal documents; as well as record-keeping, including the use of e-document management technologies.
A person holding the position of Corporate Secretary of the company must not have an outstanding or unexpunged conviction for property crimes or crimes related to official or business activities, and must also meet the requirements and restrictions established by Articles 88–90 of the Law of Ukraine “On Joint-Stock Companies” for officers of a joint-stock company.
The Corporate Secretary must have no conflict of interest within the meaning of the Law of Ukraine “On Joint-Stock Companies,” or there must be a possibility of resolving such a conflict of interest in accordance with the procedure provided for in Section V of the Law of Ukraine “On Preventing Corruption.”
The business reputation of the Corporate Secretary of a joint-stock company must meet the following requirements:
- the individual’s business reputation is impeccable within the meaning of the Law of Ukraine “On Preventing and Combating the Legalization (Laundering) of Criminally-obtained Proceeds, the Financing of Terrorism, and the Financing of the Proliferation of Weapons of Mass Destruction”;
- the person has not committed any violations of banking, financial, or currency laws; financial monitoring laws; laws on capital markets and organized commodity markets; laws on joint-stock companies; or consumer protection laws, as established by the procedure prescribed by law, for which corresponding penalties apply;
- the person has not been deprived, in accordance with the procedure established by law, of the right to hold certain positions or engage in certain activities (a person is considered not to have been deprived of the right to hold certain positions or engage in certain activities after the expiration of the period for which such deprivation was imposed);
- the person has not been dismissed from employment (including employment with foreign legal entities) within the last five years for systematic or a single gross violation by the person of their official duties and/or work order regulations, violation of anti-corruption legislation, embezzlement, abuse of power/official position, or other offenses (when working for resident legal entities—dismissal based on paragraphs 3, 4, 7, 8 of Part 1 of Article 40, paragraphs 1, 1-1, 2, 3 of Part 1 of Article 41, the ninth paragraph of Part 1 of Article 43-1, and Article 45 of the Labor Code of Ukraine, and was not dismissed from a civil service position on the grounds specified in Part 5 of Article 66 of the Law of Ukraine “On Civil Service”);
- there are no facts established by the relevant state authority that the person provided, directly or through third parties, inaccurate information about themselves to a state authority, which influenced or could have influenced the decision-making of that state authority (applicable for three years from the date such information was provided);
- there are no instances of the person failing to appear on two or more occasions (without valid reasons) for the drawing up of a report on an administrative offense under banking, financial, and currency legislation; legislation on financial monitoring; legislation on capital markets and organized commodity markets; legislation on joint-stock companies; or legislation on consumer protection;
- no economic or other restrictive measures (sanctions) have been imposed on the person pursuant to resolutions of the United Nations Security Council, other international organizations, decisions of the Council of the European Union, or other intergovernmental organizations of which Ukraine is a member (participant), which provide for restrictions or prohibitions on trade and/or financial transactions, by authorities of foreign states (except for states committing armed aggression against Ukraine as defined in Article 1 of the Law of Ukraine “On the Defense of Ukraine”) or Ukraine (a person is considered to be one to whom such measures have not been applied if three years have passed since their repeal).
To participate in the selection process and confirm compliance with the requirements for the position of Corporate Secretary, a candidate must submit the following documents:
1. a CV;
2. a cover letter: explaining their interest in the position and their vision for their contribution to the company’s development;
3. an application to participate in the selection process for the position of Corporate Secretary, with an attachment;
4. a confidentiality agreement;
5. written consent to the processing of personal data;
6. passport or ID card with a contactless electronic chip and residence certificate;
7. copies of documents confirming the candidate’s education and professional training, work experience, including but not limited to:
• a higher education diploma in “Law” and/or “International Law” and/or “Economics” and/or “Management” and/or “International Relations” and/or “Finance, Banking, Insurance, and the Stock Market” and/or “Public Management and Administration”;
• a state certificate confirming the level of proficiency in the Ukrainian language, if available;
• a document confirming the level of proficiency in the English language, if available;
• an employment record book (if available) or information on employment history from the register of insured persons in the State Register of Compulsory State Insurance;
8. a copy of the certificate of assignment of an identification number or registration number of the taxpayer’s account card in accordance with the State Register of Individual Taxpayers, or a copy of the passport with a note in it confirming the right to make payments based on the passport series and number;
9. a copy of the military registration document (for those subject to military service);
10. an extract from the criminal record;
11. a certificate from the Unified State Register of Perpetrators of Corruption or Corruption-Related Offenses;
12. a certificate confirming the absence of arrears in taxes, fees, and payments.
